Built for buyers

The right deal beats the available deal.

The Deal Strategy Co. helps you find acquisition targets, structure them creatively, and pressure-test whether the deal in front of you is actually the right deal for you.

Where buyers get stuck

  • Good businesses are not on the open market
  • The asking price and the workable structure are two different conversations
  • Everyone at the table is paid to close something
  • The numbers check out, but the fit does not
What we do

Three ways we work with buyers

Engage us for the full search, for one hard part of a live deal, or for a single independent read on a target you already have under consideration.

Find the deal

Targeted, thesis-driven sourcing. We define what you are actually looking for, build the target list, and open conversations with owners who were never planning to run a process.

Structure the deal

Price is one variable. Seller notes, earnouts, rollover equity, consulting agreements, leases, working capital pegs, and SBA-friendly terms are the rest. We build structures that let a workable deal survive a gap in expectations.

Pressure-test the deal

An independent, third-party, neutral examination of the opportunity. Not a valuation. Not a quality of earnings. A holistic read on whether this is the right deal for you.

The Deal Review

An independent read, from someone who is not paid to close it.

In most transactions, every advisor at the table earns more when the deal closes. The Deal Review exists to break that pattern. It is a flat-fee, third-party examination of a specific opportunity against a specific buyer, and the finding can be no.

A deal can be a good business and still be the wrong deal for you.

The Deal ReviewIs this the right deal for this buyer, at this price, on these terms, at this point in their life?

The Deal Review complements a valuation and a QoE. It does not replace either one, and we will tell you when you need them.

How it works

A deliberate path from thesis to close

  1. Define the buy box

Industry, size, geography, role you intend to play, capital available, and the risk you can actually carry. Most failed searches start with a buy box that was never written down.

  2. Source and screen

On-market listings, off-market outreach, and intermediary relationships, filtered against the buy box before you spend time on a call.

  3. Examine the fit

The independent Deal Review: financial picture, operational dependencies, owner reliance, customer concentration, culture, and the honest question of whether you want this life.

  4. Structure and negotiate

Offer strategy, letter of intent terms, creative structure, and a diligence plan that protects the position you negotiated.

  5. Coordinate to close

We stay in the seat through diligence, lender requirements, and the transition plan, coordinating with your attorney, CPA, and lender.
